STANDARD TERMS AND CONDITIONS OF SALE
- 1. SCOPE OF SERVICES Eswatec agrees to provide services as described in the attached Quote, Invoice, or Service Agreement (including Virtual Assistance, Architectural Drafting, or Web Development). The Client explicitly waives its own standard terms and conditions.
2. PAYMENT TERMS Unless otherwise specified on the invoice:
One-Time Projects (Websites/Setup): 50% deposit required to commence, balance due upon delivery.
Recurring Services (VA/Staffing): Invoiced monthly in advance.
Terms: Invoices are payable within 14 days.
Late Payments: In the event of non-payment by the due date, Eswatec reserves the right to charge a late fee of 10% of the outstanding balance. Eswatec is authorized to suspend all services immediately without prior warning if an invoice remains unpaid past 14 days.
Hiring Option: If the Client wishes to hire an Eswatec team member directly to their own payroll, this must be done through Eswatec’s official "Remote Staffing" placement process. Please contact contact@eswatec.com for placement fees and release terms.
Specific to Web/Tech: Eswatec is not responsible for third-party hosting issues, plugin failures, or changes in search engine algorithms.
3. NON-SOLICITATION (Protecting Our Team) The Client acknowledges that Eswatec has invested significant resources in recruiting and training its staff. The Client agrees not to directly hire, solicit, or contract with any Eswatec employee or contractor for a period of 24 months following the termination of this agreement.
4. INTELLECTUAL PROPERTY Upon full payment of all fees, the Client shall own all rights, title, and interest in the final deliverables (e.g., Website files, Revit models, Renderings). Eswatec retains the right to use the work for portfolio and marketing purposes unless a specific Non-Disclosure Agreement (NDA) is signed.
5. CONFIDENTIALITY Eswatec and its staff agree to keep all Client information (including login credentials, client lists, and financial data) strictly confidential. We will not share, sell, or disclose your proprietary information to any third party.
6. LIMITATION OF LIABILITY Eswatec undertakes to perform services with professional diligence ("best efforts"). However, Eswatec cannot be held liable for indirect damages, lost profits, or data loss. In no event shall Eswatec’s liability exceed the total amount paid by the Client to Eswatec in the three (3) months preceding the claim.
7. DISPUTE RESOLUTION Any claims must be notified in writing within 8 days of the service delivery. All contractual relations will be governed by Eswatini & United States law as applicable.
